Q: Are all board members considered “responsible persons” or can we nominate only some directors?

A: All board members are considered responsible persons. Boards can delegate day-to-day work to management, but directors remain collectively and individually accountable for performance and compliance.

Responsible persons are required to ‘exercise due diligence’ to ensure that the registered provider is meeting its duties. This includes taking reasonable steps to:

  • Understand and implement the requirements under the Aged Care Act

  • Understand the nature of aged care services the provider delivers and the potential risks

    Ensure the provider implements resources and processes for complying with the Aged Care Act.
